Important Notice

These Terms of Service govern your use of the Vitnis cloud service. They are a legally binding agreement between you and Vitnis Ltd, Reg.Office: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ Reg. in England No. 17201606. By creating an account, subscribing to a paid tier, or using the Vitnis service, you accept these Terms.

These Terms apply to self-serve tiers (Free Account, Academic, Starter, Pro, and Business). Enterprise customers are governed by their bilateral contract with Vitnis, which supersedes these Terms in the event of any conflict.

If you do not accept these Terms, do not use the Vitnis service.

1. Definitions

In these Terms:

  • “Vitnis”, “we”, “us”, “our” means Vitnis Ltd, trading as Vitnis
  • “Customer”, “you”, “your” means the individual or organisation accepting these Terms.
  • “Service” means the Vitnis cloud verification service, including the website at vitnis.com, related subdomains, the API, and any associated documentation or tools.
  • “Receipt” means the cryptographically signed verification record returned by the Service for each verification request.
  • “Circuit” means the quantum circuit specification submitted by the Customer for verification.
  • “Subscription” means a paid tier subscription (Starter, Pro, or Business).
  • “Tier” means the level of access (Free Account, Academic, Starter, Pro, or Business).
  • “Credits” means the verification credits allocated to the Customer's wallet, consumed by verification requests.

2. Acceptance and Eligibility

2.1 Acceptance

By creating an account, accessing the Service, or accepting these Terms during signup, you represent that:

  • You are at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is greater)
  • If accepting on behalf of an organisation, you have authority to bind that organisation
  • You have read and accept these Terms in their entirety

2.2 Eligibility Restrictions

You may not use the Service if:

  • You are located in, or are acting on behalf of an entity located in, a jurisdiction subject to UK sanctions
  • You intend to use the Service in connection with any military, paramilitary, or weapons-of-mass-destruction end-use
  • You are otherwise prohibited from receiving the Service under UK law

By using the Service, you warrant that none of these conditions apply.

2.3 Academic Tier Eligibility

The Academic tier is available only to verified academic institutions and registered non-profits. Vitnis reserves the right to verify eligibility and to terminate access where eligibility cannot be confirmed.

3. The Service

3.1 Service Description

Vitnis provides classical numerical verification of quantum circuit specifications. The Service computes the measurements for a submitted Circuit and returns a cryptographically signed Receipt attesting the result.

3.2 Operating Envelope

The Service is validated to produce 100%-accurate results within a defined operating envelope (depth ≤ 4). Results outside this envelope are returned with a SILVER or WARNING certification flag, including quantified accuracy bounds where applicable. Customers are responsible for understanding the certification level of any result they rely upon.

3.3 Receipts

Receipts are signed using ECDSA over the NIST P-256 curve (SECP256R1) with SHA-256, as standardised by FIPS 186-5. The corresponding public key is published at /.well-known/signing-key.pem for offline verification.

3.4 Service Availability

The Service is provided on an “as available” basis. Vitnis does not guarantee uptime or service availability for self-serve tiers. While we will use reasonable efforts to maintain Service availability, we make no commitment to specific uptime levels for self-serve tiers.

3.5 Service Modifications

We may modify, update, or discontinue features of the Service from time to time. Material changes affecting your tier will be notified by email at least 30 days in advance, in accordance with our pricing update policy.

4. Accounts and Authentication

4.1 Account Creation

You must create an account to access tiers above the anonymous demo. Authentication is provided by Clerk (https://clerk.com), a third-party identity provider, in accordance with our Privacy Policy.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activity that occurs under your account
  • Notifying Vitnis immediately of any unauthorised use of your account

We are not liable for any loss arising from your failure to maintain the security of your account.

4.3 One Account per Person

You may not create multiple accounts to circumvent tier limits or restrictions. Where multiple accounts are detected and appear to share a single user, Vitnis may consolidate or terminate them at our discretion.

5. Subscriptions and Payment

5.1 Paid Tiers

Subscriptions to Starter, Pro, and Business tiers are billed monthly in advance. Pricing is as published on our pricing page at the time of subscription, subject to the price lock described below.

5.2 Payment Processor

Payment is processed by Stripe (https://stripe.com). By subscribing, you accept Stripe's terms of service and privacy policy in addition to ours. Vitnis does not receive or store your payment card details.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled. By subscribing, you authorise Vitnis (via Stripe) to charge your payment method for each renewal until you cancel.

5.4 Cancellation by the Customer

You may cancel your Subscription at any time through your account dashboard or by contacting us. On cancellation:

  • Your Subscription continues until the end of your current paid billing period
  • You retain access to the paid tier features until that date
  • No further charges will be made
  • No refund is provided for the partial period (subject to Section 5.5 below)

5.5 14-Day Cooling-Off Period

If you are subscribing as a consumer (not in the course of a business) and this is your first Subscription with Vitnis, you have the right to cancel within 14 days of your first subscription date and receive a full refund. This cooling-off right does not apply to:

  • Subsequent Subscriptions or renewals
  • Subscriptions where you have substantially used the Service (consumed more than 25% of your monthly Credits)
  • Business or organisational subscriptions

5.6 Price Lock

Subscriptions to self-serve paid tiers (Starter, Pro, Business) are subject to a 24-month price lock from the date of original subscription. During this period, the price you pay will not change. After 24 months, prices may be updated subject to the change-management policy on our pricing page.

5.7 Failed Payments

If a payment fails, we may:

  • Retry the payment in accordance with Stripe's standard retry schedule
  • Notify you of the failure
  • Suspend access to paid features until payment is received
  • Terminate the Subscription if payment cannot be collected after reasonable retries

5.8 Tax

Prices are exclusive of applicable taxes (VAT, sales tax, GST, etc.). Tax is calculated and applied by Stripe based on your billing location and is your responsibility.

5.9 Free Tiers

Free Account and Academic tiers are provided at no charge. Vitnis reserves the right to modify the terms, limits, or availability of free tiers with 30 days' notice.

6. Credits and Usage

6.1 Credit Allocation

Each tier includes a monthly Credit allocation as described on the pricing page. Credits are consumed by verification requests at rates that depend on circuit size and complexity.

6.2 Credit Refresh

Credits refresh monthly on your subscription anniversary date. Unused Credits do not roll over to subsequent months.

6.3 Wallet Exhaustion

When your Credit wallet is exhausted, verification requests will be rejected until the next refresh date or until you upgrade to a higher tier.

6.4 Rate Limits

Daily rate limits apply to all tiers as published on our pricing page. Rate limits are intended to prevent burst-rate abuse and ensure fair resource allocation. Tier-appropriate rate limits are calibrated to support typical usage patterns.

6.5 Credit Formula

The exact formula for Credit consumption per verification is internal to Vitnis. Approximate examples are provided on the pricing page. Vitnis may adjust the formula from time to time within the bounds of reasonable economic correspondence to compute cost; material adjustments affecting your tier will be notified in advance.

7. Acceptable Use

7.1 Permitted Use

You may use the Service for any lawful purpose consistent with these Terms, including for commercial use of verification results within your own products and services, subject to the restrictions below.

7.2 Prohibited Activities

You must not:

  • Resell the Service. You may not resell, sublicense, or repackage the Service or its results as a standalone offering to third parties without our written agreement.
  • Reverse engineer. You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or its components.
  • Abuse free tiers. You may not create multiple free-tier accounts to circumvent Credit limits, use IP rotation or VPN evasion to bypass rate limits, or otherwise abuse the free tier.
  • Use for prohibited end-uses. You may not use the Service in connection with any military, paramilitary, or weapons-of-mass-destruction end-use, or supply Service results to any party who you know or reasonably suspect intends such use.
  • Use against sanctions. You may not use the Service in any way that violates UK sanctions or other applicable export controls.
  • Attack the Service. You may not deliberately submit circuits designed to disrupt, exploit vulnerabilities in, or compromise the integrity of the verification engine.
  • Misrepresent results. You may not misrepresent verification results, alter Receipts, or claim Vitnis verification for results not produced by the Service.
  • Violate law. You may not use the Service for any unlawful purpose.

7.3 Compliance with Export Controls

You acknowledge that the Service is subject to UK export control regulations. By using the Service, you warrant that your use complies with all applicable export controls, sanctions, and end-use restrictions.

8. Intellectual Property

8.1 Your Circuits

You retain all rights, title, and interest in the quantum circuits you submit to the Service. We do not claim ownership of your Circuits. We process your Circuits in volatile memory only and do not retain them beyond the duration of the verification request.

8.2 Receipts

You own the Receipts produced for your Circuits. You may use, share, publish, or distribute Receipts freely, including in commercial products and academic publications. Vitnis retains:

  • The right to verify the authenticity of any Receipt (as we hold the signing key)
  • The right to reference Receipts in our own marketing and case studies, provided that any Customer-identifiable content is redacted

8.3 Vitnis Intellectual Property

The Service, including the verification engine, software, documentation, branding, and all related materials, is the intellectual property of Vitnis. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

You may not:

  • Use Vitnis trademarks, service marks, or branding without prior written permission
  • Reproduce or distribute the Service or its components
  • Use the Service to develop a competing product

8.4 Public Methodology

The numerical methodology underlying the Service (matrix-product-state tensor-network simulation) is established public-domain numerical analysis. These Terms do not restrict your use of the underlying public-domain methodology; only of the proprietary Vitnis implementation.

9. Receipt Verification Continuity

9.1 Public Key Publication

Vitnis commits to publishing the public verification keys for all signed Receipts at /.well-known/signing-key.pem (or successor URL with reasonable notice).

9.2 Continuity Commitment

In the event that Vitnis ceases active operation, we commit to maintaining public key publication for at least 7 years from the date of any Receipt issued. This commitment is intended to ensure that Receipts remain independently verifiable for the duration of their commercial usefulness.

9.3 Key Rotation

Where signing keys are rotated for security reasons, we will publish both old and new public keys for an overlap period and clearly mark which keys signed which Receipts.

10. Privacy

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

  • We process Circuits ephemerally; no Circuit content is retained
  • Customer accounts are managed through Clerk
  • Billing is processed by Stripe
  • Verification logs (timestamps, hashes, qubit counts) are retained for 12 months for billing reconciliation
  • You retain rights of access, rectification, erasure, and others under UK GDPR

11. Disclaimers and Limitation of Liability

11.1 No Warranty Beyond the Stated Operating Envelope

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Vitnis disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly stated in these Terms.

11.2 Verification Results

Vitnis Verifier provides verification of quantum circuit specifications. Customers are responsible for their own decisions made using verification results. Vitnis's liability for any error in verification is limited as described in this Section and does not extend to consequential losses incurred by the Customer or any third party as a result of decisions made on the basis of verification results.

The Service produces results within a defined operating envelope, with certification levels (GOLD, SILVER, WARNING) reflecting the confidence appropriate to each result. Customers are responsible for understanding the certification level of results they rely upon.

11.3 Limitation of Liability

To the fullest extent permitted by law, Vitnis's total aggregate liability arising from or relating to these Terms or the Service is limited to the lesser of:

  • The total amount paid by you to Vitnis in the 12 months preceding the event giving rise to liability, or
  • £10,000

This limitation applies whether the claim is brought in contract, tort (including negligence), strict liability, statute, or any other theory.

11.4 Exclusions

The limitations in Section 11.3 do not apply to:

  • Death or personal injury caused by Vitnis's negligence
  • Fraud or fraudulent misrepresentation by Vitnis
  • Any other liability that cannot be excluded or limited under English law

11.5 Consequential Damages

To the fullest extent permitted by law, Vitnis is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of business opportunity.

11.6 Customer Responsibility

You acknowledge that:

  • The Service is a verification tool, not a guarantor of correctness for any specific use case
  • Material decisions made on the basis of verification results are your responsibility
  • Where verification results inform high-value decisions, you should apply appropriate additional validation

12. Indemnification

You agree to indemnify and hold harmless Vitnis, its successors, and assigns from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your misuse of the Service
  • Your violation of any law or third-party rights
  • Your use of the Service in connection with any prohibited end-use

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your Subscription through your account dashboard (for paid tiers)
  • Requesting account deletion through dpo@vitnis.com

On termination:

  • Your access to the Service ends at the end of your current paid period (or immediately for free tiers)
  • Your account data is deleted in accordance with our Privacy Policy
  • Outstanding payment obligations remain due
  • Sections that by their nature should survive (intellectual property, liability, dispute resolution) continue to apply

13.2 Termination by Vitnis

We may terminate or suspend your account, with or without notice, for:

  • Material breach of these Terms — with reasonable notice and a 14-day cure period for breaches that are capable of cure
  • Non-payment — after reasonable retry attempts and notice in accordance with Section 5.7
  • Abuse or violation of acceptable use (Section 7) — immediately, without cure period
  • Change in regulatory status — where continuing to provide the Service to you would violate UK export controls, sanctions, or other applicable law

13.3 Effect of Termination

On termination by Vitnis:

  • Your access to the Service ends immediately (for abuse) or at the end of your current paid period (for other grounds)
  • Refunds, if any, are governed by Section 5
  • Your account data is handled in accordance with our Privacy Policy
  • Receipts you have received remain verifiable per Section 9

14. Force Majeure

Neither party is liable for failure to perform obligations under these Terms to the extent that performance is prevented by circumstances beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure outages, supply chain disruptions, or labour disputes. The affected party will notify the other promptly and resume performance as soon as practicable.

This section does not apply to payment obligations.

15. Notices

15.1 Notice to You

We will give notices to you by email to the address registered with your account. It is your responsibility to keep your email address current. Notices are deemed received on the day of sending unless we receive notice of delivery failure.

15.2 Notice to Vitnis

You may give notice to us by email to:

15.3 Material Changes

We will notify you by email of material changes to these Terms at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Dispute Resolution

16.1 Informal Resolution

Before commencing any formal legal action, the parties agree to attempt to resolve any dispute through informal negotiation. The party raising the dispute will:

  • Send written notice to the other (per Section 15)
  • Set out the nature of the dispute and the resolution sought
  • Allow at least 30 days for informal resolution before commencing legal proceedings

This requirement does not apply to claims for injunctive or equitable relief, where time is of the essence.

16.2 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

16.3 Jurisdiction

The courts of England and Wales have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service, except that we may bring an action in any court of competent jurisdiction to seek injunctive or equitable relief, or to enforce a judgment.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and Vitnis regarding the Service. They supersede any prior agreements, understandings, or representations.

17.2 Modifications

We may modify these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not accept the modifications, you must stop using the Service.

17.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full effect. The invalid provision will be modified to the minimum extent necessary to make it valid, while preserving the parties' original intent.

17.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other.

17.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, sale of substantially all of our assets, or by operation of law.

17.6 Relationship of the Parties

These Terms do not create any partnership, joint venture, agency, or employment relationship between you and Vitnis. Neither party has authority to bind the other.

17.7 No Third-Party Beneficiaries

These Terms do not confer any rights on any third party. The Contracts (Rights of Third Parties) Act 1999 does not apply.

17.8 Headings

Headings are for convenience only and do not affect the interpretation of these Terms.
